Terms of Service

Your agreement with Create State

The website located at createstate.ai and related services (collectively, the "Service") are owned and operated by Create State, Inc. ("Company", "us", "our", and "we"). Certain features of the Service may be subject to additional guidelines, terms, or rules, which will be posted on the Service in connection with such features. All such additional terms, guidelines, and rules are incorporated by reference into these Terms.

These Terms of Service (these "Terms") set forth the legally binding terms and conditions that govern your use of the Service. By accessing or using the Service, you are accepting these Terms (on behalf of yourself or the entity that you represent), and you represent and warrant that you have the right, authority, and capacity to enter into these Terms (on behalf of yourself or the entity that you represent). You may not access or use the Service or accept the Terms if you are not at least 18 years old. If you do not agree with all of the provisions of these Terms, do not access and/or use the Service.

PLEASE READ CAREFULLY:

SECTION 14 CONTAINS PROVISIONS GOVERNING HOW TO RESOLVE DISPUTES BETWEEN YOU AND COMPANY. AMONG OTHER THINGS, SECTION 14 INCLUDES AN AGREEMENT TO ARBITRATE WHICH REQUIRES, WITH LIMITED EXCEPTIONS, THAT ALL DISPUTES BETWEEN YOU AND US SHALL BE RESOLVED BY BINDING AND FINAL ARBITRATION. SECTION 14 ALSO CONTAINS A CLASS ACTION AND JURY TRIAL WAIVER.

UNLESS YOU OPT OUT OF THE AGREEMENT TO ARBITRATE WITHIN 30 DAYS: (1) YOU WILL ONLY BE PERMITTED TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF AGAINST US ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION; AND (2) YOU ARE WAIVING YOUR RIGHT TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL.

1 Acceptance of Terms

By accessing and using the Service, you accept and agree to be bound by the terms and provisions of this agreement. Your continued use of the Service following any updates to these Terms constitutes acceptance of those changes.

If you are participating in our beta program, you also agreed to the Beta Test Agreement during registration. The Beta Test Agreement is incorporated by reference into these Terms of Service and contains additional provisions regarding confidentiality, intellectual property, and beta-specific terms that apply to beta users.

2 Description of Service

Create State provides software development tools and services designed to help developers and teams capture, organize, and leverage knowledge from their software projects ("Service"). The Service is delivered through our website, APIs, integrations, and related technologies.

The specific features, functionality, and capabilities of the Service may change from time to time at our discretion. Current features and documentation are available at createstate.ai/web/documentation. We may add, modify, or discontinue features with or without notice, provided that material reductions in core functionality for paid subscribers will be communicated in accordance with Section 19 (Changes to Terms).

Your access to specific features may depend on your subscription tier. Feature availability by tier is described on our pricing page.

3 User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • - Provide accurate and complete registration information
  • - Maintain the security of your password and account
  • - Notify us immediately of any unauthorized use of your account
  • - Be responsible for all activities under your account

4 Acceptable Use

You agree not to use the Service to:

  • - Violate any applicable laws or regulations
  • - Infringe on intellectual property rights
  • - Transmit malicious code or malware
  • - Attempt to gain unauthorized access to the Service
  • - Interfere with or disrupt the Service

5 Subscription and Payment

5.1 Paid Services

Certain features of the Service may require you to pay fees. Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged. Unless otherwise specifically provided for in these Terms, all fees are in U.S. Dollars and are non-refundable, except as required by law or as otherwise specified herein.

5.2 Pricing

Create State reserves the right to determine pricing for the Service. We will make reasonable efforts to keep pricing information published on the Service up to date. We encourage you to check our pricing page periodically for current pricing information.

Create State may change the fees for any feature of the Service, including additional fees or charges, if we give you advance notice of changes before they apply through the Service user interface, email, or other reasonable means. Your continued use of the Service after the price change becomes effective constitutes your agreement to pay the changed amount.

You will be responsible for all taxes associated with the Service, other than taxes based on Create State's net income. Create State, at its sole discretion, may make promotional offers with different features and different pricing to any customers. These promotional offers, unless made to you, will not apply to your offer or these Terms.

5.3 Payment Processing

To facilitate payment for the Service via credit card or debit card, we use Stripe, Inc. and its affiliates ("Stripe"), a third-party payment processor. These payment processing services are provided by Stripe and are subject to the Stripe Terms of Service and Stripe Privacy Policy (collectively, the "Stripe Agreements").

By agreeing to these Terms, users that use the payment functions of the Service also agree to be bound by the Stripe Agreements, as the same may be modified by Stripe from time to time. You hereby authorize Stripe to store and continue billing your specified payment method even after such payment method has expired, to avoid interruptions in payment for your use of the Service. Create State assumes no liability or responsibility for any payments you make through the Service.

5.4 Subscription Service

The Service includes subscription-based plans with automatically recurring payments for periodic charges ("Subscription Service"). The "Subscription Billing Date" is the date when you purchase your first subscription to the Service.

The Subscription Service will begin on the Subscription Billing Date and continue for the subscription period that you select (such period, the "Initial Subscription Period"), and will automatically renew for successive periods of the same duration (each a "Subscription Period") unless you cancel the Subscription Service or we terminate it.

If you activate a Subscription Service, you authorize Create State or its third-party payment processors to periodically charge, on a going-forward basis and until cancellation of the Subscription Service, all accrued sums on or before the payment due date. Your account will be charged automatically on the Subscription Billing Date and thereafter on the renewal date of your Subscription Service for all applicable fees and taxes for the next Subscription Period.

You must cancel your Subscription Service at least 24 hours before it renews in order to avoid billing of the next periodic Subscription Fee to your account. YOUR CANCELLATION MUST BE RECEIVED BEFORE THE RENEWAL DATE IN ORDER TO AVOID CHARGE FOR THE NEXT SUBSCRIPTION PERIOD.

5.5 Usage-Based Features

You may purchase additional products, services, or features that Create State makes available on a supplemental basis, including usage-based pricing features such as additional AI model usage or storage ("Add-Ons"). Add-Ons are deemed part of the Service and governed by these Terms. Fees for Add-Ons are described on our pricing page or within the Service.

5.6 Delinquent Accounts

Create State may suspend or terminate access to the Service, including fee-based portions of the Service, for any account for which any amount is due but unpaid. In addition to the amount due for the Service, a delinquent account may be charged with fees or charges that are incidental to any chargeback or collection of any unpaid amount, including collection fees.

If your payment method is no longer valid at the time a renewal Subscription Fee is due, Create State reserves the right to suspend your access to paid features and, after reasonable notice, delete your account and any information associated with your account without any liability to you.

6 Cancellation, Refunds, and Termination

6.1 Cancellation by You

You may cancel your Subscription Service at any time by using the cancellation functionality in your Account Settings or by contacting us at support@createstate.ai. Cancellations take effect at the end of the current billing period. You will continue to have access to paid features until your current Subscription Period ends.

6.2 Refunds

Unless otherwise required by law, paid Subscription Fees are non-refundable. Refunds for extenuating circumstances are provided on a case-by-case basis at our sole discretion. If we terminate your Subscription Service for reasons other than your violation of these Terms, we will refund you on a pro rata basis the fees you paid for the remaining portion of your Subscription Period after termination.

6.3 Termination by Create State

We reserve the right to modify, suspend, or discontinue the Service or your access to the Service, in whole or in part, at any time without notice to you. Although we will strive to provide you with reasonable advance notice if we stop offering a Service, there may be urgent situations, such as preventing abuse, addressing security issues, or responding to legal requirements, where providing advance notice is not feasible.

We may terminate your account if: (a) you violate these Terms; (b) your account has been inactive for over one year and you do not have a paid account; or (c) maintaining your account creates legal or security risks for Create State or other users. If we terminate your account for inactivity, we will provide you with advance notice before deletion.

If we terminate your access to the Service due to a violation of these Terms, you will not be entitled to any refund.

6.4 Effect of Termination

Upon termination of these Terms, your Subscription Service, or your access to the Service:

  • - Your right to access and use the Service will immediately cease
  • - We may, at our option, delete any Content or other data associated with your account
  • - You should export any data you wish to retain before termination

Sections 5 (with respect to fees outstanding as of termination), 8-13, and 14-20 will survive any expiration or termination of these Terms. If you believe we have suspended or terminated your account in error, you can file an appeal by contacting legal@createstate.ai.

7 Intellectual Property

The Service and its original content, features, and functionality are owned by Create State and are protected by international copyright, trademark, and other intellectual property laws.

8 Data and Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices.

8A. Data Processing and GDPR Compliance

When you use our Service, we act as a data processor for the code and project data you upload. You remain the data controller.

Data Processing Agreement: By using our Service, you agree that we may process your data to:

  • - Perform code analysis and generate insights
  • - Create and maintain world models
  • - Provide semantic search and pattern detection
  • - Store and retrieve your project data

Your Code Ownership: You retain all rights to your code. We do not:

  • - Use your private code for training our foundation models
  • - Share your code with other users or third parties
  • - Claim ownership or license rights to your code

Subprocessors: We may use subprocessors (service providers) to help provide the Service. A list of subprocessors is available upon request at privacy@createstate.ai.

8B. Account Deletion and Data Retention

Account Termination: You may delete your account at any time through Account Settings. Upon account deletion:

  • - Your account will be immediately deactivated
  • - All your world models and project data will be deleted within 30 days
  • - Your API keys will be revoked immediately
  • - Active subscriptions will be cancelled (no refunds for partial periods)
  • - Anonymized audit logs may be retained for compliance purposes

Data Retention: After account deletion, we retain anonymized data for:

  • - Legal compliance (financial records: 7 years)
  • - Security and fraud prevention (audit logs: 2 years, anonymized)
  • - Service improvement (aggregated analytics only)

8C. Usage Data

Create State may collect, analyze, and otherwise process Usage Data internally for its business purposes, including:

  • - Security monitoring and fraud prevention
  • - Service analytics and performance optimization
  • - Enhancing and developing the Service
  • - Generating aggregated, anonymized insights

"Usage Data" means technical logs, data, and learnings about your use of and interactions with the Service, such as feature usage patterns, API call frequencies, and performance metrics. Usage Data expressly excludes your Content (code, project data, and world models).

We may disclose Usage Data to third parties only in an aggregated and/or de-identified form and in a manner that does not identify you or your organization.

9 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS, AND CREATE STATE (AND OUR SUPPLIERS) EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT.

WE (AND OUR SUPPLIERS) MAKE NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE.

IF APPLICABLE LAW REQUIRES ANY WARRANTIES WITH RESPECT TO THE SERVICE, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO 90 DAYS FROM THE DATE OF FIRST USE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

10 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CREATE STATE (OR OUR SUPPLIERS) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF CREATE STATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION), WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) FIFTY US DOLLARS ($50) OR (B) THE AMOUNTS YOU HAVE PAID TO CREATE STATE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

11 Indemnification

You agree to indemnify and hold Create State (and its officers, employees, and agents) harmless, including costs and attorneys' fees, from any claim or demand made by any third party due to or arising out of:

  • - Your use of the Service
  • - Your violation of these Terms
  • - Your violation of applicable laws or regulations
  • - Your User Content or data you submit to the Service

Create State reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Create State.

12 User Content License

While you retain ownership of your code and project data as described in Section 8A, by submitting content to the Service, you grant Create State a non-exclusive, worldwide, royalty-free license to use, copy, process, and store your content solely for the purpose of:

  • - Providing and operating the Service
  • - Performing code analysis and generating insights for your account
  • - Creating and maintaining your world models
  • - Improving and developing the Service (using only aggregated, anonymized data)

This license terminates when you delete your content or account, except for anonymized data retained as described in Section 8B.

13 Feedback

If you provide Create State with any feedback or suggestions regarding the Service ("Feedback"), you hereby assign to Create State all rights in such Feedback and agree that Create State shall have the right to use and fully exploit such Feedback and related information in any manner it deems appropriate. Create State will treat any Feedback you provide as non-confidential and non-proprietary. You agree that you will not submit to Create State any information or ideas that you consider to be confidential or proprietary.

UNLESS YOU OPT OUT OF THE AGREEMENT TO ARBITRATE WITHIN 30 DAYS: (1) YOU WILL ONLY BE PERMITTED TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF AGAINST US ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING; AND (2) YOU ARE WAIVING YOUR RIGHT TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL.

14 Dispute Resolution and Arbitration

14.1 Applicability

You agree that any dispute between you and Create State relating in any way to the Service or these Terms will be resolved by binding arbitration, rather than in court, except that:

  • - You and Create State may assert individualized claims in small claims court if the claims qualify and remain in such court
  • - You or Create State may seek equitable relief in court for infringement or other misuse of intellectual property rights

This Arbitration Agreement shall survive the expiration or termination of these Terms.

14.2 Informal Dispute Resolution

Before either party commences arbitration (or initiates an action in small claims court), we will personally meet and confer telephonically or via videoconference, in a good faith effort to resolve informally any dispute covered by this Arbitration Agreement ("Informal Dispute Resolution Conference").

The party initiating a dispute must give notice to the other party in writing of its intent to initiate an Informal Dispute Resolution Conference ("Notice"), which shall occur within 45 days after the other party receives such Notice.

Notice to Create State should be sent by email to: legal@createstate.ai, or by regular mail to 2261 Market Street, STE 24435, San Francisco, California 94114. The Notice must include: (1) your name, telephone number, mailing address, and email address associated with your account; (2) the name and contact information of your counsel, if any; and (3) a description of your dispute.

14.3 Arbitration Rules and Forum

If the Informal Dispute Resolution Process does not resolve satisfactorily within 60 days after receipt of your Notice, either party shall have the right to finally resolve the dispute through binding arbitration. The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.

The arbitration will be conducted by JAMS. Disputes involving claims with an amount in controversy under $250,000 shall be subject to JAMS' Streamlined Arbitration Rules; all other claims shall be subject to JAMS's Comprehensive Arbitration Rules. JAMS's rules are available at www.jamsadr.com or by calling JAMS at 800-352-5267.

Unless you and Create State otherwise agree, the arbitration will be conducted in the county where you reside. You and Create State agree that all materials and documents exchanged during the arbitration proceedings shall be kept confidential.

14.4 Authority of Arbitrator

The arbitrator shall have exclusive authority to resolve all disputes subject to arbitration hereunder, including any dispute related to the interpretation, applicability, enforceability or formation of this Arbitration Agreement. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim or dispute, and to award monetary damages and any non-monetary remedy or relief available under applicable law. The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which any award is based. The award of the arbitrator is final and binding upon you and us.

14.5 Waiver of Jury Trial

EXCEPT AS SPECIFIED IN SECTION 14.1, YOU AND CREATE STATE HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and Create State are instead electing that all covered claims and disputes shall be resolved exclusively by arbitration. An arbitrator can award on an individual basis the same damages and relief as a court and must follow these Terms as a court would. However, there is no judge or jury in arbitration, and court review of an arbitration award is subject to very limited review.

14.6 Waiver of Class or Other Non-Individualized Relief

YOU AND CREATE STATE AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, REPRESENTATIVE, OR COLLECTIVE BASIS, AND THE PARTIES HEREBY WAIVE ALL RIGHTS TO HAVE ANY DISPUTE BE BROUGHT, HEARD, ADMINISTERED, RESOLVED, OR ARBITRATED ON A CLASS, COLLECTIVE, REPRESENTATIVE, OR MASS ACTION BASIS. ONLY INDIVIDUAL RELIEF IS AVAILABLE.

14.7 30-Day Right to Opt Out

You have the right to opt out of the provisions of this Arbitration Agreement by sending a timely written notice of your decision to opt out to: 2261 Market Street, STE 24435, San Francisco, California 94114, or email to legal@createstate.ai, within 30 days after first becoming subject to this Arbitration Agreement. Your notice must include your name, address, and a clear statement that you want to opt out of this Arbitration Agreement. If you opt out of this Arbitration Agreement, all other parts of these Terms will continue to apply to you.

14.8 Batch Arbitration

To increase the efficiency of administration and resolution of arbitrations, if there are 100 or more individual arbitration requests of a substantially similar nature filed against Create State by or with the assistance of the same law firm or organization within a 30-day period, JAMS shall: (1) administer the arbitration demands in batches of 100 requests per batch; (2) appoint one arbitrator for each batch; and (3) provide for the resolution of each batch as a single consolidated arbitration with one set of filing and administrative fees due per side per batch. This Batch Arbitration provision shall in no way be interpreted as authorizing class, collective, or mass arbitration of any kind.

15 Copyright Policy (DMCA)

Create State respects the intellectual property of others and asks that users of our Service do the same. In connection with our Service, we have adopted and implemented a policy respecting copyright law that provides for the removal of any infringing materials and for the termination, in appropriate circumstances, of users who are repeat infringers of intellectual property rights.

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Service, please notify our copyright agent as set forth in the Digital Millennium Copyright Act of 1998 (DMCA). For your complaint to be valid under the DMCA, you must provide the following information in writing:

  • 1. Your physical or electronic signature
  • 2. Identification of the copyrighted work(s) that you claim have been infringed
  • 3. Identification of the material on our Service that you claim is infringing and that you request us to remove
  • 4. Sufficient information to permit us to locate such material
  • 5. Your address, telephone number, and email address
  • 6. A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
  • 7. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner

16 Governing Law and Jurisdiction

These Terms shall be governed by the laws of the State of California, without regard to its conflict of laws provisions. Create State, Inc. is a Delaware corporation with its principal place of business in California. For any disputes not subject to arbitration, you and Create State agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

17 Third-Party Links and Services

The Service may contain links to third-party websites and services, including AI providers when you use Bring Your Own Key (BYOK) functionality. Such third-party links and services are not under the control of Create State, and Create State is not responsible for them. Create State provides access to these third-party links and services only as a convenience to you, and does not review, approve, monitor, endorse, warrant, or make any representations with respect to them. You use all third-party links and services at your own risk. When you use third-party services, their terms and policies apply, including their privacy and data gathering practices.

18 General Provisions

18.1 Export Control

The Service may be subject to U.S. export control laws and may be subject to export or import regulations in other countries. You agree not to export, reexport, or transfer, directly or indirectly, any U.S. technical data acquired from Create State, or any products utilizing such data, in violation of the United States export laws or regulations.

18.2 Electronic Communications

The communications between you and Create State use electronic means. For contractual purposes, you (a) consent to receive communications from Create State in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Create State provides to you electronically satisfy any legal requirement that such communications would satisfy if they were in writing.

18.3 Severability

If any provision of these Terms is, for any reason, held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.

18.4 Entire Agreement

These Terms constitute the entire agreement between you and Create State regarding the use of the Service. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

18.5 Assignment

These Terms, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without Create State's prior written consent. Create State may freely assign these Terms. Any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void.

18.6 No Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Create State's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18.7 California Residents

19 Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes by sending an email to the last email address you provided to us and/or by prominently posting notice of the changes on our Service. Material changes will be effective 30 days after such notification. Non-material changes or clarifications will take effect immediately. Your continued use of the Service following notice of such changes shall indicate your acknowledgment of such changes and agreement to be bound by the updated terms.
